Welcome to Prayr. These Terms of Service ("Terms") constitute a legally binding agreement between you ("you," "your," or "User") and Prayr ("Prayr," "we," "our," or "us") governing your access to and use of the Prayr website, application, and related services (collectively, the "Service") available at prayr-app.com.
Please read these Terms carefully before using the Service. By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.
1. Description of the Service
Prayr is an all-in-one Islamic companion application designed to support your spiritual journey. The Service includes, but is not limited to:
- Prayer time calculations based on your location and preferences
- Prayer tracking, habit logging, and gamification features
- Quran recitation, audio, translations, and tafsir
- Duas, dhikr, and Islamic content
- Podcasts and Islamic articles
- Zakat calculator and related tools
- Scholar application and content contribution features
- Feedback board, bug reports, and community features
- User accounts, profiles, and personalized settings
We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.
2. Eligibility and Account Registration
To access certain features of the Service, you must create an account. You represent and warrant that:
- You are at least 13 years of age (or the applicable age of consent in your jurisdiction) and have the legal capacity to enter into these Terms
- You will provide accurate, current, and complete information during registration
- You will maintain and promptly update your account information to keep it accurate
- You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account
- You will notify us immediately of any unauthorized use of your account
We reserve the right to refuse service, terminate accounts, or remove or edit content at our sole discretion, including for violation of these Terms or for any other reason we deem appropriate.
3. Acceptable Use
You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:
- Use the Service in any way that violates applicable laws, regulations, or third-party rights
- Impersonate any person or entity, or falsely state or otherwise misrepresent your affiliation with a person or entity
- Transmit any content that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable
- Transmit any content that infringes any patent, trademark, trade secret, copyright, or other intellectual property or proprietary rights
- Use the Service to distribute spam, malware, or other harmful code
- Attempt to gain unauthorized access to the Service, other users' accounts, or any systems or networks connected to the Service
- Use automated means (e.g., bots, scrapers) to access the Service without our prior written consent
- Interfere with or disrupt the Service or servers or networks connected to the Service
- Reverse engineer, decompile, or disassemble any part of the Service
- Use the Service for any commercial purpose without our prior written consent, except as expressly permitted
- Submit false or misleading information in scholar applications, feedback, or bug reports
- Use the Service in any manner that could damage, disable, overburden, or impair our infrastructure
We reserve the right to investigate suspected violations of these Terms and to take appropriate action, including suspending or terminating your account and reporting violations to law enforcement.
4. User Content and Conduct
You may submit content through the Service, including profile information, feedback, bug reports, feature requests, comments, scholar applications, and other materials ("User Content"). You retain ownership of your User Content, but you grant us a non-exclusive, royalty-free, worldwide, transferable, sublicensable license to use, reproduce, modify, adapt, publish, and display your User Content in connection with operating and providing the Service, improving our products, and for other lawful business purposes.
You represent and warrant that you have all rights necessary to grant the license above and that your User Content does not violate any third-party rights or applicable laws. We are not obligated to monitor User Content, but we may do so and may remove or refuse to publish any User Content that we determine, in our sole discretion, violates these Terms or is otherwise objectionable.
In connection with community features (e.g., feedback board, comments), you agree to treat other users with respect and in a manner consistent with the values of the Service. Harassment, hate speech, and abusive conduct are not permitted.
5. Intellectual Property
The Service, including its design, features, content (other than User Content and third-party content), software, and underlying technology, is owned by Prayr or its licensors and is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or create derivative works based on the Service or any part thereof without our prior written consent.
Islamic content (e.g., Quran text, translations, tafsir, duas) may be sourced from third parties and is subject to their respective licenses and terms. We do not claim ownership of such third-party content and use it in accordance with applicable licenses.
The Prayr name, logo, and related marks are trademarks of Prayr. You may not use our trademarks without our prior written permission.
6. Prayer Times and Islamic Content
Prayer times provided by the Service are calculated using established algorithms and methods. While we strive for accuracy, prayer times may vary based on location, calculation method, and other factors. You should verify critical prayer times through local Islamic authorities or mosques when precision is important.
Islamic content (Quran, translations, tafsir, duas, articles) is provided for educational and spiritual purposes. We do not represent that such content is authoritative or free from error. For matters of religious interpretation or practice, consult qualified scholars.
7. Zakat Calculator and Financial Tools
The zakat calculator and related financial tools are provided for informational and educational purposes only. They are not a substitute for professional financial or religious advice. Zakat calculations may vary based on scholarly opinion, your specific circumstances, and applicable rules. You should consult a qualified Islamic scholar or financial advisor for guidance on zakat and other financial matters.
8. Scholar Applications
If you submit a scholar application, you represent that the information you provide is accurate and complete. We reserve the right to verify your qualifications and to approve or reject applications at our sole discretion. Approval of an application does not create an employment or contractor relationship unless expressly agreed in writing. We may revoke scholar status at any time for any reason.
9. Third-Party Links and Services
The Service may contain links to third-party websites, services, or content (e.g., OAuth providers, external audio sources, podcasts). We do not control and are not responsible for third-party content or practices. Your use of third-party services is subject to their respective terms and privacy policies. We encourage you to review them before using any third-party service.
10. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. WE DO NOT WARRANT THE ACCURACY, COMPLETENESS, OR RELIABILITY OF ANY CONTENT PROVIDED THROUGH THE SERVICE.
YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES, SO SOME OF THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PRAYR AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY.
IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICE EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US, IF ANY, IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).
SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.
12. Indemnification
You agree to indemnify, defend, and hold harmless Prayr and its officers, directors, employees, agents, licensors, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) your User Content; (c) your violation of these Terms; (d) your violation of any third-party rights; or (e) any conduct or activity that violates applicable law. We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you, in which event you will cooperate with us in asserting any available defenses.
13. Termination
You may terminate your account at any time by contacting us or through account settings, if available. We may suspend or terminate your account and access to the Service at any time, with or without cause or notice, including for violation of these Terms.
Upon termination, your right to use the Service will immediately cease. Provisions of these Terms that by their nature should survive termination (including ownership, disclaimers, indemnification, and limitation of liability) shall survive.
14. Dispute Resolution and Governing Law
These Terms shall be governed by and construed in accordance with the laws of the United States and the State of Delaware, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in Delaware, and you consent to the personal jurisdiction of such courts.
If you are located in a jurisdiction that requires mandatory arbitration or different dispute resolution procedures, those requirements may apply to you to the extent required by applicable law.
15. General Provisions
Entire Agreement: These Terms, together with our Privacy Policy and any other policies or guidelines we publish, constitute the entire agreement between you and Prayr regarding the Service and supersede any prior agreements.
Severability: If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
Waiver: Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.
Assignment: You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction.
Force Majeure: We shall not be liable for any failure or delay in performing our obligations where such failure or delay results from circumstances beyond our reasonable control, including natural disasters, war, terrorism, pandemics, or failures of third-party infrastructure.
16. Changes to These Terms
We may modify these Terms from time to time. When we make material changes, we will update the "Last Updated" date at the top of this page and may provide additional notice (e.g., via email or in-app notification). Your continued use of the Service after the effective date of any changes constitutes your acceptance of the revised Terms.
If you do not agree to the modified Terms, you must stop using the Service. We encourage you to review these Terms periodically.
